Terms and Conditions :
01. Buyer" refers to the individual purchasing or agreeing to purchase Goods from the Seller.
02. "Conditions" encompass: a) the terms and conditions outlined in this document, b) those stated in the Order Confirmation, and c) any special terms and conditions mutually agreed upon in writing by the Seller, signed by an authorized representative of the Seller.
03. "Contract" denotes any agreement between the Seller and the Buyer that incorporates the Conditions.
04. "Data" signifies any information provided by the Buyer to the Seller.
05. "DPA" stands for the Data Protection Act 1998.
06. "Delivery Date" indicates the specific date(s) designated by the Seller for the delivery or availability for collection of any Goods.
07. "Goods" pertain to any items that the Buyer has agreed to purchase from the Seller.
08. "Input Material" refers to any material (including documents, plans, drawings, photographs, and film) supplied by the Buyer to the Seller concerning the Goods, including for the Seller's use in their design.
09. "Intellectual Property Rights" encompass all patents, copyrights, design rights, trademarks, service marks, trade secrets, know-how, database rights, and other similar intellectual property rights (whether registered or unregistered), as well as any applications for such rights, worldwide.
10. "Order Confirmation" signifies any communication from the Seller to the Buyer confirming an order placed by the Buyer for Goods.
11. "Price" denotes the cost of any Goods, excluding carriage, packing, insurance, and VAT.
12. "Quotation" refers to any written or oral statement provided by the Seller to the Buyer regarding Goods.
13. "Seller" indicates Steven Stone Ltd (company number 00579757), trading as Stevenstone.co.uk.
14. "VAT" represents Value Added Tax or any substitute tax or duty.
15. "Working Day" signifies any day from Monday to Friday (inclusive), excluding Christmas Day, Good Friday, statutory Bank Holidays, or any day between December 26th and January 2nd of the following year.
Conditions:
2.1 The Conditions shall govern all contracts initiated by the Seller with the Buyer, superseding any other terms and conditions, including those that the Buyer may seek to apply through purchase orders, order confirmations, or similar documents.
2.2 A Quotation provided by the Seller shall be construed as an offer to sell Goods in accordance with the Conditions.
2.3 Once any of the following events occur:
2.3.1 The Buyer places an order for Goods,
2.3.2 The Seller sends an Order Confirmation, or
2.3.3 Dispatch or delivery of Goods by the Seller to the Buyer is completed,such event(s) shall serve as conclusive evidence of the Buyer's acceptance of the Conditions.
2.4 Any modification of the Conditions shall be deemed ineffective unless mutually agreed upon in writing by the Seller and endorsed by an authorized representative of the Seller.
